Laws of the Akureyri Travel Association
Article 1.
The Association is called the Akureyri Travel Association (abbreviated FFA). Its domicile and legal venue are in Akureyri. The association’s area of operation is Akureyri and its surroundings.
Article 2.
The Association is a volunteer organization and aims to promote travel in Iceland, especially in North Iceland.
Article 3.
The Association is a division of the Iceland Touring Association (Ferðafélag Íslands) but operates independently and has an independent financial structure. Half of the annual membership fee goes to the Iceland Touring Association. Within the Akureyri Travel Association, divisions with special interests may be established, such as a youth division, mountaineering division, etc.
Article 4.
The board of FFA consists of five persons: a chairman, vice-chairman, secretary, treasurer, and board member.
The chairman shall be elected separately each year. The other board members shall be elected every two years, two at a time, and divide the responsibilities among themselves. However, three members shall be elected if one of the sitting board members is elected chairman.
Two alternate members shall be elected annually (1st and 2nd alternates); they attend board meetings but have voting rights only in the absence of main board members.
The board appoints committees as needed.
Article 5.
The Annual General Meeting (AGM) shall be held before the end of March each year, and notice of the meeting shall be given in newspapers, on radio, and/or through electronic media with at least 7 days’ notice and no more than 21 days’ notice.
The agenda of the AGM shall be as follows:
- Presentation of the board’s report.
- Presentation and approval of audited financial statements.
- Presentation of proposed amendments to the bylaws, if any, which must be published with the meeting notice.
- Election of the board, financial auditors, archivist, and committees according to Articles 4 and 6.
- Other matters.
Amendments to the bylaws require the approval of 2/3 of members present at the AGM.
Other general meetings shall be convened by the board when deemed necessary, but must be called if requested in writing by 25 members. Notice for general meetings shall follow the same rules as for the AGM.
All fully recognized members of the Association have voting rights at the AGM and general meetings.
The board determines the annual membership fee.
Article 6.
To prepare for the AGM each year, a nomination committee shall operate, composed of the chairs of FFA committees.
The committee submits proposals to the AGM for board members and alternates, along with two financial auditors and one alternate, as well as one archivist. It also submits proposals to the board regarding appointments to Association committees for the upcoming operating year.
Fully recognized members may run for any elected positions at the AGM without consulting the nomination committee.
Article 7.
If the Association is dissolved, its assets shall be transferred to a similar organization in North Iceland, the Iceland Touring Association, or its divisions.
Article 8.
In all other respects not specified here, the laws of the Iceland Touring Association apply.
